TERMS AND CONDITIONS

Welcome to Mystery AI, LLC, From Mystery to Mastery Podcast, HBCUdemy, and the HBCU CEO Roundtable (collectively referred to as the "Collective," "we," "our," or "us").

These Terms and Conditions govern your access to and use of our websites, communities, platforms, courses, podcasts, programs, services, events, memberships, content, and related offerings.

By accessing or using any part of the Collective, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

1. Scope of Services

The Collective may include:

  • Podcast content and interviews

  • Educational courses and workshops

  • AI consulting and strategy sessions

  • Membership communities and roundtables, including the HBCU CEO Roundtable and HBCUdemy

  • Networking opportunities

  • Live and virtual events

  • Downloads, templates, and resources

  • Email newsletters and communications

  • Sponsorship and advertising opportunities

  • Scholarship and educational initiatives

Services may evolve over time. We reserve the right to modify, update, pause, or discontinue services at any time, with reasonable notice where practical.

2. Eligibility

You must be at least 18 years old, or have appropriate legal permission from a parent or guardian, to use our services.

By using the Collective, you confirm that:

  • Information you provide is accurate and current

  • You have the authority to enter into these terms

  • Your participation does not violate any applicable laws or agreements

3. Community Conduct

We are committed to building a respectful, collaborative, and mission-driven community. By participating in our communities, events, courses, or platforms, you agree not to:

  • Harass, threaten, bully, or abuse other members or staff

  • Share unlawful, defamatory, discriminatory, or harmful content

  • Spam, phish, or excessively self-promote

  • Disrupt community discussions, sessions, or events

  • Misrepresent your identity, credentials, or affiliation

  • Share confidential information belonging to others without permission

  • Attempt unauthorized access to systems, accounts, or data

  • Use the community primarily for solicitation, recruitment, or exploitation

  • Engage in any conduct that conflicts with our mission and community values

Members may not scrape, copy, export, or misuse member contact information for unsolicited sales, recruiting, political outreach, fundraising, or unrelated promotional campaigns. Violation of this provision may result in immediate removal and legal action where applicable.

We reserve the right to remove content, issue warnings, suspend access, or permanently terminate participation if conduct violates these standards or harms the community. Termination decisions are final where required for safety or legal compliance.

4. Intellectual Property

Unless otherwise stated, all content within the Collective is owned by or licensed to Mystery AI, LLC and its related entities. This includes:

  • Branding, logos, and trademarks

  • Podcast content, audio, and video recordings

  • Educational materials, frameworks, and templates

  • Graphics, designs, and written content

  • Course materials and downloadable resources

  • AI-generated outputs produced under our direction

You may not reproduce, distribute, modify, sell, republish, or commercially exploit any content without prior written permission from Mystery AI, LLC.

Members and guests retain ownership of their original content. By submitting or sharing content within the Collective, you grant Mystery AI, LLC a non-exclusive, royalty-free, worldwide license to use, display, distribute, and promote that content in connection with operating and promoting the Collective.

5. Podcast and Media Release

By participating in podcast interviews, livestreams, workshops, recorded events, or any media-related activities associated with the Collective, you grant Mystery AI, LLC a perpetual, irrevocable, royalty-free, worldwide license to:

  • Record audio and video of your participation

  • Edit recordings for clarity, length, or promotional purposes

  • Publish content on podcast platforms, websites, social media, newsletters, YouTube, and related channels

  • Create clips, promotional graphics, quotes, and highlight reels

  • Use your name, likeness, voice, company name, and submitted materials for educational and promotional purposes

You acknowledge that participation is voluntary and that this license survives the end of any membership or relationship with the Collective This may include short-form clips, highlights, promotional excerpts, and social media content derived from recordings. 

If you would like content corrected or removed, please contact us at [email protected]. We will review requests in good faith, though removal cannot be guaranteed for content already distributed to third-party platforms.

6. Educational and Informational Disclaimer

Content provided through the Collective is for educational, informational, and community purposes only. Nothing within the Collective constitutes:

  • Legal advice

  • Financial or investment advice

  • Medical or mental health advice

  • Tax or accounting guidance

  • Professional licensing guidance

You are responsible for your own decisions, actions, and outcomes. We encourage you to consult qualified professionals when appropriate.

7. AI and Technology Disclaimer

The Collective may include discussions, demonstrations, recommendations, or use of artificial intelligence tools, automation platforms, and related technologies.

We do not guarantee:

  • Specific business results or revenue generation

  • Operational or performance outcomes from AI tools

  • Accuracy, completeness, or reliability of AI-generated outputs

  • Error-free automation or platform performance

You are responsible for reviewing, verifying, and making your own independent decisions regarding any AI-generated content or recommendations. We do not use AI to make automated decisions that significantly affect your legal rights without human review.

Outputs produced by AI tools are not professional advice of any kind and should not be treated as such.

8. Warranties Disclaimer

To the fullest extent permitted by law, the Collective and all services, content, programs, and materials are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.We do not warrant that:

  • Services will be uninterrupted, error-free, or secure

  • Results from using the Collective will meet your expectations

  • Content is free from inaccuracies or omissions

  • Third-party tools or platforms will function as expected

Your use of the Collective is at your sole risk.

9. Memberships and Community Access

Certain parts of the Collective require membership, application approval, payment, or invitation.

Current membership tiers and pricing are displayed at checkout, on the applicable sales page, or in the membership agreement. Pricing is subject to change with reasonable notice.

Membership access may include community participation, courses and resources, networking opportunities, events and office hours, member directories, roundtable sessions, and educational programming.

Participation in the HBCU CEO Roundtable, HBCUdemy, or related communities does not guarantee business growth, revenue, partnerships, sponsorships, referrals, funding, media opportunities, scholarships, or specific outcomes. Results depend on individual effort, circumstances, and factors outside our control.

We reserve the right to accept or decline applications, limit participation, modify membership structures, or remove inactive or disruptive members. Memberships are non-transferable.

Cancellation and Renewal

Monthly memberships may be cancelled at any time before the next billing cycle. Annual memberships may be cancelled at any time, but fees already paid for the current term are non-refundable unless otherwise required by law. You will retain access through the end of the paid period.

Memberships renew automatically unless cancelled in advance. You are responsible for cancelling before your renewal date. We will make reasonable efforts to notify you before annual renewals.

10. Payments and Refunds

Paid services, memberships, sponsorships, events, or educational programs are subject to the following terms unless otherwise stated at the time of purchase:

  • Payments are due at the time of purchase or as specified at checkout

  • Deposits for events or coaching sessions are non-refundable

  • Missed appointments or sessions without 24-hour advance notice may not be eligible for rescheduling

  • Annual membership fees are non-refundable after the first 7 days from purchase

  • Monthly membership fees are non-refundable for the current billing period

  • Digital products and downloadable resources are non-refundable once accessed

Exceptions may be made on a case-by-case basis at our discretion, or as otherwise required by applicable law. To request a refund consideration, contact [email protected] within 7 days of purchase with your reason.

11. Scheduling and Appointments

Users are responsible for:

  • Booking appointments accurately and providing correct contact information

  • Attending scheduled sessions on time

  • Providing at least 24 hours advance notice for cancellations or reschedule requests

  • Reviewing confirmation details sent at booking

We reserve the right to reschedule or cancel appointments when necessary. We will provide advance notice where possible.

12. Third-Party Platforms

The Collective may use or integrate with third-party tools and platforms, including GrowthHub365, Calendly, Riverside, Stripe, PayPal, social media platforms, podcast hosting platforms, video conferencing tools, and AI software providers.

We are not responsible for outages, errors, data practices, policies, or actions of third-party providers. Use of third-party services is subject to their respective terms and policies.

13. Sponsorships and Partnerships

Sponsors, advertisers, partners, and featured organizations are responsible for the accuracy of their own information, claims, products, and services. Participation in sponsorships or partnerships does not guarantee endorsement by Mystery AI, LLC. Sponsored content, advertisements, and paid features may be identified as such where appropriate.

We reserve the right to approve, reject, or remove sponsorships or partnerships that do not align with our mission or community values, at any time and without compensation.

14. User-Generated Content

You may voluntarily submit content including comments, testimonials, community posts, course materials, messages, event participation, applications, and suggestions. By submitting content, you:

  • Confirm you have the right to submit it

  • Grant Mystery AI, LLC a non-exclusive, royalty-free, worldwide license to use, display, distribute, and promote that content within and in connection with the Collective

  • Remain fully responsible for the accuracy, legality, and appropriateness of what you submit

We reserve the right to remove user-generated content that violates these Terms, community standards, or applicable law.

15. DMCA and Copyright Policy

We respect intellectual property rights and expect members and users to do the same. If you believe content on our platforms infringes your copyright, please send a written notice to [email protected] that includes:

  • A description of the copyrighted work you claim has been infringed

  • The specific location of the allegedly infringing content

  • Your contact information

  • A statement that you have a good-faith belief that the use is not authorized

  • A statement that the information in your notice is accurate and, under penalty of perjury, that you are the rights holder or authorized to act on their behalf

  • We will review valid notices and take appropriate action, which may include removal of the content.

16. Privacy

Your use of the Collective is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for details regarding how your information is collected, used, and protected. By using the Collective, you also agree to the practices described in the Privacy Policy.

17. Force Majeure

Mystery AI, LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, power outages, internet service failures, platform outages, labor disputes, or other events outside our reasonable control.

In such events, we will make reasonable efforts to resume services and notify affected users as soon as practical.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Mystery AI, LLC and its affiliates, officers, team members, contractors, partners, and representatives shall not be liable for:

  • Indirect, incidental, special, or consequential damages

  • Lost profits, business opportunities, or revenue

  • Service interruptions or technology failures

  • Data loss or security breaches caused by third-party platforms

  • Decisions made based on content, recommendations, or AI-generated outputs

  • User interactions or community disputes

In no event shall our total liability to you for any claim arising from your use of the Collective exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Your participation is at your own risk.

19. Indemnification

You agree to indemnify, defend, and hold harmless Mystery AI, LLC, its affiliates, officers, team members, contractors, partners, and representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Collective

  • Your violation of these Terms

  • Your misuse of content or platforms

  • Your violation of any law or third-party rights

  • Content you submit or actions you take within the Collective

20. Dispute Resolution and Arbitration

We encourage you to contact us first at [email protected] to resolve any concern informally. We will make a good-faith effort to resolve disputes within 30 days.

If informal resolution is not successful, any dispute, claim, or controversy arising from or relating to these Terms or your use of the Collective shall be resolved through binding individual arbitration administered under the rules of the American Arbitration Association (AAA), unless both parties agree otherwise in writing.

The arbitration shall take place in Maryland or via remote hearing. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not as part of a class, collective, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, contact information, and a clear statement that you are opting out of arbitration. Opting out does not affect your other rights or obligations under these Terms.

21. Termination

We reserve the right to suspend or terminate access to the Collective at any time for:

  • Violations of these Terms

  • Harmful, harassing, or abusive behavior

  • Fraudulent or deceptive activity

  • Misuse of platforms or community resources

  • Non-payment of fees owed

Termination does not waive any payment obligations already incurred. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will survive.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Maryland, without regard to conflict of law principles. Subject to the arbitration provisions above, any disputes not resolved through arbitration shall be brought in the courts located in Maryland.

23. General Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Mystery AI, LLC.

Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Mystery AI, LLC regarding your use of the Collective and supersede all prior agreements or understandings on the same subject.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

24. Accessibility

We are committed to improving accessibility and creating inclusive experiences for all community members. If you experience accessibility barriers or need assistance accessing our content, please contact us at [email protected] so we can provide assistance.

25. Changes to These Terms

We may update these Terms and Conditions periodically. Updates will be posted with a revised effective date. If we make material changes, we will notify you by email (where we have your address) or by posting a prominent notice on our websites.

Continued use of the Collective after updates are posted constitutes your acceptance of the revised Terms.
